Terms of Service

Effective date: June 20, 2026 — Bliss Tech LLC, Los Angeles, CA

1. What This Platform Does

Cleared.live is a rights clearance coordination platform. We facilitate the identification, tracking, and documentation of rights clearances required for content distribution. We are not a law firm. Use of this platform does not create an attorney-client relationship between you and Bliss Tech LLC or any platform operator.

2. Not Legal Advice

All AI-generated documents, templates, clearance guidelines, and communications produced by this platform are for drafting and coordination purposes only. They do not constitute legal advice. You should consult a licensed entertainment attorney before executing any agreement. The platform does not warrant that any draft agreement is legally sufficient for your specific situation.

3. Submitter Responsibilities

By submitting a rights clearance request, you represent and warrant that:

  • You are authorized to submit on behalf of the production entity named in the submission
  • The information you have provided is accurate and complete to the best of your knowledge
  • You understand that the clearance process may require obtaining signed agreements from multiple third parties, and that the platform coordinates but does not guarantee that any clearance will be obtained
  • You will procure and maintain all required insurance (E&O and general liability) as specified in your clearance agreements
  • You will indemnify and hold harmless the platform operator and any associated streaming platform from any third-party claims arising out of your content or your failure to obtain required clearances
4. Production Entity Requirement

All clearance agreements facilitated through this platform are entered into by and between the submitter's production company or special purpose vehicle (SPV) and the applicable rights holder. Individuals are not permitted to contract directly — you must have a valid production entity. The platform is never a contracting party to any underlying clearance agreement.

5. Platform Role

The streaming platform (Netflix, Amazon, YouTube, etc.) whose clearance portal you submitted through is the downstream assignee of cleared rights. The platform is not a party to your clearance agreements and bears no liability for claims arising from your content. All rights obtained through the clearance process are assigned to the platform as a condition of distribution.

6. AI-Generated Content

This platform uses AI to generate draft agreements and outreach emails. All AI-generated content must be reviewed by a qualified attorney before execution. Bliss Tech LLC makes no representation that AI-generated drafts are accurate, complete, or appropriate for your specific transaction. You assume full responsibility for any agreement you execute.

7. Fees and Payment

Clearance coordination fees are invoiced after submission review. Submission of this form does not guarantee a specific fee or timeline. Fees are non-refundable once clearance work has commenced. The platform reserves the right to decline any submission.

8. Limitation of Liability

To the maximum extent permitted by law, Bliss Tech LLC's total liability for any claim arising out of use of this platform is limited to the fees paid by you in the 30 days preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages of any kind.

9. Governing Law

These Terms are governed by the laws of the State of California, County of Los Angeles, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Los Angeles County, California.

10. Changes to These Terms

We may update these Terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms. Material changes will be noted with an updated effective date.
